Stuart F. Blyth

Stuart F. Blyth is a partner in our Real Estate & Development Group. He acts for major developers in Alberta as well as other large clients – both domestic and international – who execute a significant number of real estate matters. Stuart has extensive experience with respect to real estate matters under both the Land Titles Act (Alberta) and the Public Lands Act (Alberta). Stuart has particular experience and knowledge of pipeline and midstream real estate matters, telecommunications real estate matters, land assembly for development purposes, compliance with the Foreign Ownership of Land Regulations of Alberta respecting acquisitions of lands by foreign corporations, commercial and residential subdivisions, development and planning matters, and the acquisition and disposition of lands.

His practice also involves real estate transactions for commercial developments including office buildings, shopping centres and industrial properties, leasing for retail, industrial and office developments including land leases and the financing of leasehold estates, project financing, condominium developments, title insurance matters, joint ventures, limited partnerships and co-ownership agreements. His practice regularly brings him into contact with municipalities and other governmental and regulatory authorities, including the Alberta Utilities Commission, Alberta Environment and Parks, and the Alberta Energy Regulator. Stuart also has experience involving GST matters relating to real estate, due diligence, and title reviews. Stuart’s practice also involves advising on First Nations land matters.

Prior to joining Cassels Brock, Stuart was a partner at another major national firm. He is fluent in English and Spanish.

Representative Work

  • Acting for major real estate companies with respect to the acquisition, disposition and financing of office towers, shopping centres and other commercial properties
  • Managing the preparation of all land acquisition documents and ancillary documents for a new proposed pipeline to be constructed across Canada, including right-of-way documentation, crossing agreements, temporary work space agreements, leasing documentation and option to purchase documentation
  • Negotiating ground leases for clients including for:
    • a large heat exchange power project
    • a shopping centre
    • a large residential project
    • a research and development site
    • a new large petroleum tank storage facilities
  • Negotiating a lease for a new marine oil terminal, including a lease of an area of the ocean floor
  • Negotiating an office premises lease for a tenant relating to a significant portion of an office building
  • Preparation of partnership documentation respecting the development, construction, leasing, and management of a major new medical centre
  • Preparation of limited partnership documentation for a new apartment complex development
  • Acting for a client with respect to land assembly for the development of a new intermodal hub for the transportation of petroleum products including new rail facilities
  • Acting for a client with respect to a land assembly for a large sand extraction and processing business
  • Acting for a client with respect to land acquisition for a large peat extraction business
  • Coordinating the preparation of an extensive opinion to a large international pipeline company respecting abandonment obligations, including those deriving from the revisions to the National Energy Board Act implemented pursuant to the Pipeline Safety Act
  • Acting for a client with respect to the acquisition of a large portfolio of light industrial properties
  • Acting for clients with respect to the preparation of standard leasing documents, standard sub-lease documents, standard option to purchase agreements, standard right of way agreements and standard agreements of purchase and sale
  • Acting for a bank in relation to the provision of financing for the construction of an office tower project
  • Advising a large multi-municipal utility company respecting water rights, water use plans and with respect to negotiations for the acquisition of additional water rights
  • Acting for a client in connection with land acquisitions, in connection with the establishment of limited partnerships, and in connection with financing, for new residential development projects
  • Acting for a client with respect to land acquisition, zoning, development approvals and leasing matters for a new tank terminal facility
  • Acting for a pipeline company with respect to obtaining all necessary land rights and preparing ancillary documentation for a significant re-routing of a pipeline right-of-way
  • Acting for a large pipeline company in its acquisitions of land for a rail facility including development and planning matters, acquisition of Public Lands Act dispositions, acquisition of pipeline assets and necessary rights of way, acquisition of telecommunications rights and the obtaining necessary approvals for rail facilities
  • Advising a client regarding the acquisition of assets of a wind power generation facility to be constructed
  • Acting for a private lender in connection with a DIP loan to an international land developer
  • Acting for a large Alberta based natural gas pipeline company with respect to its NEB approved “Integrated Asset Transfer Project” which involved a province-wide exchange of assets with another large natural gas distribution company. The transfer involved approximately 2,667 km of pipelines, 150 metering facilities and associated land rights, interests and assets
  • Acting for a client in the acquisition of the assets of the Express Pipeline system, a 786 mile pipeline system from Hardisty, Alberta to Casper, Wyoming and the connected 933 mile Platte Pipeline from Casper, Wyoming to Wood River, Illinois
  • Acting for a midstream client in the sale of assets comprising tanks and associated pipelines and infrastructure
  • Acting for a large pipeline company in connection with the initial establishment of the company and respecting the acquisition of extensive pipeline assets, including rights of way, leases, fee simple titles, crossing agreements, licenses of occupation, and permits and approvals
  • Acting for a major international pipeline company, including its subsidiaries and project entities, in land acquisitions and land rights acquisitions including freehold acquisitions and “dispositions” for land rights under the Public Lands Act of Alberta
  • Advising a major international pipeline company with respect to its document standardization, including rights of way, agreements of purchase and sale, lease agreements and option to lease agreements, temporary work space agreements and other documents
  • Acting for a number of Alberta based pipeline projects respecting:
    • Land acquisitions, leasing, subdivision and development matters for pipeline installations
    • Managing the negotiation of and acquisition of rights of way, temporary workspace agreements, crossing agreements and pipeline relocation agreements
    • Leasing matters
    • Addressing and advising with respect to land owner concerns respecting compensation and damages and clubroot and other crop diseases and pests
