Intermediate Securities Law Clerk

Our Business Law Group is currently seeking a motivated, professional, team-oriented law clerk to join its securities law practice. As a member of the securities team, this individual will work closely with, and receive mentorship from, a group of lawyers and law clerks to deliver quality legal services.

The successful candidate will be responsible for, but not limited to:

  • Managing compliance issues for public companies with various commissions.
  • Filings on SEDAR and SEDI.
  • Preparation and submission of CUSIP/ISIN applications and eligibility applications with CDS.
  • Drafting of applicable documentation with respect to initial public offerings and short form prospectus offerings.
  • Assisting with closings of private placements.
  • Preparation and filing of regulatory filings in connection with the closing of private placements.
  • Basic knowledge of TSX Securefile filings.

The successful candidate must have the following education, experience and/or demonstrated skills:

  • 5+ years of experience as a law clerk in a law firm setting.
  • Law clerk/paralegal certificate and/or university degree from an accredited institution.
  • Possess a broad foundation of legal concepts, experience and applications relevant to the practice of securities law.
  • SEDAR and SEDI filing experience.
  • Online e-filing services for British Columbia and Ontario;
  • Basic knowledge of NRD filings considered an asset
  • Strong computer skills including Microsoft Office.
  • Ability to organize and prioritize competing workloads in a busy environment.
  • Strong drafting and proofreading skills
  • Excellent written and oral communication skills.
  • Strong analytical skills.
  • Excellent interpersonal and client service skills.
  • Confident and dependable, with initiative and ability to work both independently and in a team-oriented atmosphere.
