Ross R. Ramgoolam

Ross R. Ramgoolam is an associate with the Financial Services and Real Estate & Development Groups at Cassels Brock. 

His practice is focused on residential real estate, commercial real estate, commercial financing, and secured lending transactions involving commercial office and industrial buildings, warehouses, shopping plazas and malls, gas stations, hotels, multi-unit residential apartment buildings, and long-term care homes. Ross has also regularly acted for sub-prime lenders and several major Canadian lending institutions on numerous high-profile commercial financing transactions.
 
Ross obtained his B.A. (Honours) from York University and subsequently earned his J.D., from Western Michigan University, Thomas M. Cooley Law School, graduating magna cum laude. Ross was called to the New York State bar in 2010, the Ontario bar in 2012, and is a member of the American Bar Association, the New York State Bar Association, and the Canadian Bar Association. Ross has also appeared on CHIN International Radio (100.7FM) to discuss various real estate matters.
 
Prior to joining Cassels Brock, Ross worked as an associate for a mid-sized law firm located in downtown Toronto, Ontario, concentrating on commercial real property, corporate commercial transactions, and residential real property.

  • Representing a national life insurance company in connection with a $49,000,000.00 mortgage assumption transaction relating to commercial office buildings located in Ontario and Nova Scotia
  • Representing a Canadian Schedule I Bank with respect to a $54,200,000.00 mortgage assumption transaction involving several commercial shopping plazas located in Ontario, Alberta, New Brunswick, Nova Scotia, and Newfoundland
  • Representing a Canadian non-bank lender in connection with the preservation of security priority in the amount of $402,000,000.00 granted by several private Ontario corporations operating retirement residences
  • Representing a Canadian mortgage financing corporation in connection with a $18,000,000.00 Canada Mortgage and Housing Corporation financing of a multi-unit residential building located in Toronto, Ontario
  • Representing a national asset management firm in connection with bridge loan financing of $8,300,000.00 in connection with a private Ontario corporation’s acquisition of a recycling plant located in Ontario
  • Representing a Canadian Schedule I Bank with respect to a $38,000,000.00 mortgage assumption transaction relating to an office tower located in Toronto, Ontario
  • Representing a private Ontario corporation in connection with its $104,000,000.00 purchase of Toronto shopping mall with over 66,000 square feet of retail space
  • Represented a limited partnership in connection with its $24,500,000.00 sale of an 8 storey hotel located in Toronto, Ontario

  • Representing a private Ontario corporation in connection with its $75,000,000.00 purchase of industrial property located in Toronto, Ontario

  • Representing a U.K. company in connection with its $23,000,000.00 bid to purchase all of the assets of a significant publicly traded Canadian corporation

  • Representing a private Ontario corporation, which operates in the technology sector, in connection with financing for its $3,000,000.00 acquisition of substantially all of the assets of an American private corporation, including the shares owned by the target in a Netherlands holdco, which owns shares in two subsidiaries, one of which is located the Republic of Singapore and the second of which is located in Australia
  • Representing a private Ontario corporation in connection with its asset purchase of a major Canadian restaurant franchise in Mississauga, Ontario
  • Representing a private Ontario corporation in connection with its asset sale of restaurant located in Toronto, Ontario
