Cameron Mingay
As a partner in the Securities Group, Cam's diverse practice covers the areas of securities, corporate, mergers, acquisitions and divestitures, high-tech and natural resource law. He has extensive experience in representing companies and investment dealers in all manner of public and private corporate finance transactions. He acts as lead counsel for a number of public clients and he serves as counsel to a number of investment dealers on corporate finance matters.
Representative transactions on which Cam has acted include the following:
- Acted for Kinross Gold Corporation, a TSX and NYSE listed company, since its formation
- He acted on the three-way merger of Kinross with TVX Gold Inc. and Echo Bay Mines Ltd.
- In connection with the merger, Kinross also acquired the remaining 49.9% interest in the TVX Newmont Americas joint venture from Newmont Mining Corporation for US$180 million, funded by a concurrent cross-border offering
- As a result of these and subsequent transactions, Kinross is currently the fourth-largest primary gold producer in the world, with a current market capitalization in excess of $7 billion
- Over the past fourteen years, Cam has acted for Kinross in public offerings that have raised well in excess of $1 billion
- Acted for Hudbay Minerals Inc. in their acquisition of Hudson Bay Mining & Smelting Co., Limited
- To fund the acquisition, HudBay Minerals Inc. completed an offering of 1,917,510,000 subscription receipts for gross proceeds of approximately $143 million and a high yield offering of US$175 million senior secured notes
- Represented the Harris family on tax and corporate matters, when Charlotte, N.C.-based Nucor Corporation acquired all of the issued and outstanding common shares of Harris Steel Group Inc. for approximately $1.2 billion
- Acted for the underwriters in the initial public offering of shares of Canadian Satellite Radio Holdings Inc., the exclusive Canadian licensee of the XM™ satellite radio service
- Acted for Western Goldfields, Inc. in a Northbound MJDS offering and on a reorganization pursuant to which Western Goldfields, Inc. migrated from the U.S. to Canada to become a foreign private issuer
- Acts for Allied Nevada Gold Corp. on cross-border securities matters
- Acts for Silver Bear Resources Inc., a natural resource company, listed on the Toronto Stock Exchange, with several properties in Russia
- Acted for WaveRider Communications Inc., a U.S. registrant, which is a manufacturer of a wireless high speed, low-cost alternative to traditional hard-wired Internet services
- Acted on a cross-border (MJDS north-bound) rights offering for WaveRider
- Acted as Canadian corporate counsel for Image Processing Systems (IPS) from its inception in the early 1990s and until it was acquired by Photon Dynamics, Inc. of San Jose, California - IPS was a global electronic vision systems provider with over 125 employees
- Acted for Dell Computer for the first six years of its existence in Canada, and was its corporate secretary for that period
