As a partner in the Securities Group, Jennifer Traub* represents both issuers and investment dealers in connection with public and private securities offerings, mergers and acquisitions and other financing transactions. She has particular expertise and experience in the resource sector and has played an integral role in managing some of the largest and most complex corporate finance and M&A deals in the mining industry in Canada. Jennifer has completed the Osgoode Certificate in Mining Law.

In addition to transactional work, Jennifer regularly advises public companies regarding general corporate and securities law matters, including continuous disclosure, corporate governance and Canadian stock exchange issues.

Jennifer was selected as one of Lexpert’s Rising Stars: Leading Lawyers Under 40 in 2011 and is recognized as a leading lawyer by the Canadian Legal Lexpert Directory and Best Lawyers. She is also Chair of the Mining Group and a member of the firm's Executive Committee.

  • Sandstorm Metals & Energy Ltd. in two equity financings aggregating $150 million 
  • Canaco Resources Inc. in its $120 million treasury bought deal equity financing with concurrent $43 million secondary bought deal equity financing by SinoTech (Hong Kong) Corporation Limited
  • Canada Lithium Corp. in its $126.5 million bought deal equity financing
  • Tigray Resources in its $5.25 million non-brokered private placement 
  • Stonegate Agricom Ltd. in its $50 million initial public offering
  • Stonegate in Sprott Resource Corp.’s $50 million secondary offering of common shares of Stonegate
  • Sandstorm Gold Ltd. in its $57.5 million bought deal equity financing
  • Goldcorp Inc. in its US$1.6 billion secondary offering of Silver Wheaton shares
  • Goldcorp in its US$862.5 million convertible debt offering
  • Silver Wheaton Corp. in its $287.5 million bought deal equity financing
  • Thompson Creek Metals Company Inc. in its $235 million bought deal equity financing
  • FNX Mining Company Inc. in its $144 million bought deal equity financing
  • Gold Wheaton Gold Corp. in its $260 million private placement to fund its first streaming agreement with FNX Mining
  • Sandstorm Gold in its $46.8 million prospectus offering to fund its first two streaming agreements with Luna Gold and SilverCrest and further prospectus offering of $36.8 million
  • Goldcorp and Silver Wheaton in their early warrant exercise incentive transactions, raising US$450 million and $120 million, respectively
  • BMO Capital Markets as underwriter for Reunion Gold Corporation in its $40 million private placement
  • GMP Securities L.P. as agent for Tolima Gold Corp. in two financings aggregating $40 million

  • Paradigm Capital Inc. as agent for Marengo Mining Limited (Australian company) in its initial public offering in Canada and over five financings aggregating $135 million 


Her mergers and acquisitions experience includes representing:

  • R2 Energy Ltd. in its reverse take-over transaction with San Antonio Ventures Inc. and concurrent $6 million financing, creating Renaissance Oil Corp.
  • Sandstorm Gold in its $28.3 million acquisition of Premier Royalty Inc. by way of a plan of arrangement
  • Grayd Resource Corporation as the target of Agnico-Eagle Mines Limited's $275 million take-over bid 
  • Goldcorp in its $3.6 billion acquisition of Andean Resources Limited
  • The recipient of Lexpert’s 2008 Canadian Deal Makers Mining Award, Goldcorp in its $1.5 billion acquisition of Gold Eagle Mines
  • Goldcorp in its $250 million acquisition of Canplats Resources
