Eva Bellissimo
Eva is a partner in the Securities Group at Cassels Brock, and represents investment dealers and issuers on a variety of corporate finance and merger and acquisition transactions, including transactions involving Australian and US issuers. Her practice also includes advising public and private companies on general corporate and securities law compliance matters.
Notable transactions in which Eva has been involved include:
- Acting on behalf of a syndicate of underwriters led by Cormark Securities Inc. and GMP Securities L.P. in connection with a $109 million initial public offering of common shares of Teranga Gold Corporation following the spin-off of the Sabodala gold project from Mineral Deposits Limited to Teranga.
- Acting on behalf of Forbes & Manhattan (Coal) Inc. in connection with a business combination with Nyah Resources Corp. and concurrent TSX listing.
- Acting on behalf of Black Iron Inc. in connection with its initial public offering of common shares and concurrent TSX listing.
- Acting on behalf of Allied Nevada in connection with a crossborder $283.5 million public offering of shares of common stock.
- Acting on behalf of Franco-Nevada Corporation in connection with a $370 million public offering of units.
- Acting on behalf of Western Goldfields Inc. in connection with a business combination with New Gold Inc.
- Acting on behalf of Crocodile Gold Inc. in connection with a $136 million business combination with Franc-Or Resources Corporation, and subsequent public offerings.
- Acting on behalf of Canadian Tire Corporation, Limited in connection with the filing of a shelf prospectus establishing an MTN program and providing for the issuance of up to $750 million of medium term notes.
- Acting on behalf of a syndicate of dealers led by BMO Nesbitt Burns Inc. in connection with the filing of a shelf prospectus establishing an MTN program and providing for the issuance of up to $3.5 billion of medium term notes of American Express Canada Credit Corporation.
- Acting on behalf of a syndicate of agents led by Cormark Securities Inc. in connection with a private placement of $50 million of subscription receipts and subsequent initial public offering of Dioro Exploration NL.
