Andrea FitzGerald

Andrea is a partner in the Securities Group. Her practice is focused on securities and corporate law, with an emphasis on mergers and acquisitions as well as corporate finance.

Andrea has experience representing public and private issuers and investment dealers in a broad range of industries, including mining and mineral exploration, technology and communications, consumer products and transportation. She regularly acts on a variety of corporate transactions, including business combinations, acquisitions and public and private offerings. She has also acted on cross-border transactions.

Andrea also regularly advises companies on general corporate and securities law matters, including stock exchange listings for both domestic and foreign issuers, corporate governance practices and regulatory compliance.

Some of Andrea's recent transactions include:

  • Representing MMX Mineração e Metàlicos SA in connection with its listing of global depositary receipts on the TSX, which is the first Brazilian company to have securities listed on the Exchange
  • Representing Peru Copper Inc. in connection with a $70 million private placement
  • Representing Peru Copper Inc. in connection with an $875 million takeover bid by a subsidiary of Aluminum Corporation of China
  • Representing Yamana Gold Inc. in connection with a $200 million public equity offering
  • Representing Yamana Gold Inc. in connection with its respective acquisitions of RNC Gold Inc. and Desert Sun Mining Corporation, having a combined purchase price of approximately US$1.2 billion
  • Representing Yamana Gold Inc. in connection with a $130 million bought deal public equity offering
  • Representing E.D. Smith Income Fund in connection with its acquisition of Seaforth Creamery and concurrent $60 million public equity offering
  • Representing Yamana Gold Inc. in connection with the early exercise of its TSX and AMEX listed common share purchase warrants, which was the first early exercise of warrants transaction in Canada
  • Representing Yamana Gold Inc. in connection with its listing of common shares on the London Stock Exchange

In addition to her law practice, Andrea has written papers and memoranda, and has delivered presentations on corporate and securities law matters.
