Contracts that are well-drafted create binding, enforceable obligations consistent with the expectations of the parties. This seminar will highlight common drafting mistakes that make contracts ambiguous, as well as statutory and common law provisions that render contracts unenforceable. 

A concise discussion of cases dealing with uncertainty and unenforceability will illustrate the importance of good drafting. This seminar will also provide practical drafting tips that can be applied to both simple and complex contracts and help you avoid these pitfalls.

About the Speakers

Stuart English is a partner in the firm’s Business Law Group. His practice focuses on M&A and private equity transactions. He also advises clients on a variety of corporate and commercial matters, including shareholder and partnership agreements, corporate governance matters, stock option and other employee incentive plans, manufacturing, distribution and licensing agreements, and corporate compliance programs and other risk management initiatives. 

Robert Cohen is a partner in the firm's Advocacy Group. He practices in the field of commercial litigation including contract disputes, partnership disputes, oppression remedies and other shareholder disputes for public and private companies, injunctions, defamation, employment law and professional malpractice. He acts for a broad spectrum of clients, ranging from individuals and entrepreneurs in small and large businesses as well as boards of public companies.
