Stein, Jennifer Traub On February 4, 2010, Goldcorp Inc. completed the acquisition of Canplats Resources, securing for Goldcorp the Camino Rojo project near its world-class Peñasquito mine. Located approximately 50 kilometres southeast of Goldcorp’s Peñasquito mine, Camino Rojo nearly quadruples Goldcorp’s total land package in a core district. The acquisition was completed by way of a plan of arrangement under the Business Corporations Act (British Columbia) pursuant to which all of the issued and outstanding shares of Canplats were transferred to 0756808 B.C. Ltd., a wholly-owned subsidiary of Goldcorp. Canplats shares were acquired by Goldcorp for $4.60 in cash per share. In addition, holders of Canplats shares received a distribution from Canplats of one share in a new exploration company with a notional value of $0.20 for total consideration of $4.80 per share, or approximately $308.5 million.
